2017-2018 OCC Annual Meeting Report

The Oswego Country Club membership elected four new members to the Board of Directors at their annual meeting on Sunday, November 19.

 

Elected to 3-year terms were Jack Conners, Mark Mayo and Don Molinari while Mary Stevens was elected to a one year term.  They join Atom Avery, Pete Cullinan, Dan Dorsey Jr., Tara FitzGibbons and Mike Lane as Directors.  The Officers for 2017-2018 as voted on by the Board of Directors are:  Tom Van Schaack (President), Matt Bacon (1st Vice President), Paul Kemper (2nd Vice President), Larry Heintz (Secretary) and Brian George (Treasurer).  George takes over as Treasurer for Bob Mulcahey who ably served as Treasurer of OCC for the past four years.

 

In addition to the Board election, the membership voted on three Constitutional changes and a financial expenditure.  Items follow:

 

Proposition #1

Revise Article VIII to add Domestic Partners to the Junior Family and Full Family membership classification as follows:

 

A change to the definition of Full Family and Junior Full Family to include non-related domestic partners who permanently reside together (with or without children) who are each at least (18) years of age and not more than (31) years of age for Junior Full Family Membership and at least (31) years of age for one or both members for Full Family Membership

 

Proposition #2

Revise Article VIII to remove the paragraph regarding Junior memberships:

 

This paragraph should have been removed when the Junior Family and Junior Single categories were added during the November 2013 Annual Meeting.

 

Proposition #3

Revise Article IV, Section 4.04 to allow for electronic participation at Board meetings in certain circumstances as follows:

 

With advance notice (the criteria for which is to be established by the Board) a Director or Officer may participate in a regular or special Board meeting by means of a conference telephone or other means of remote communication by which all persons participating in the meeting can communicate with each other.  Participation in this manner shall allow for voice and vote on any and all matters properly brought before the Board and shall count as attendance for the purpose of the attendance requirements of this section.  However, remote participants shall not be counted for the purpose of establishing a quorum.  In addition, the presiding officer and recorder must be present in person.  Officers and Directors shall be limited to two remote participations per fiscal year. 

 

*All three Constitutional proposals passed with at least a 2/3 Affirmative  vote.

 

Financial Expenditure:

 

The Purchase of a new fairway mower at a cost of up to $65,000 (after trade in) which would be paid for in installments for 3 or 4 years under an existing line item in the budget.

 

This passed with a simple majority vote.
